1. INTRODUCTION & SCOPE
1.1 Purpose of the Vendor Terms
These Vendor Terms and Conditions (“Vendor Terms”) govern the relationship between LEETA and any individual or business entity that registers on the Platform as a vendor for the purpose of offering Liquefied Petroleum Gas (LPG) products and related services to consumers through the Platform.
The purpose of these Vendor Terms is to:
- Establish clear rules, obligations, and standards applicable to vendors operating on the Platform;
- Ensure compliance with applicable Nigerian laws, regulatory requirements, and industry safety standards relating to LPG handling, storage, transportation, and distribution;
- Protect consumers, vendors, and LEETA by promoting safe, transparent, and reliable LPG trade; and
- Define the rights, responsibilities, and liabilities of vendors in connection with their use of the Platform and provision of Services.
These Vendor Terms are intended to ensure that all vendors operate in a lawful, safe, and professional manner consistent with LEETA’s mission to expand access to clean energy in Nigeria.
1.2 Relationship to General Terms
These Vendor Terms are supplementary to, and must be read together with, LEETA’s general Terms and Conditions (“General Terms”) and Privacy Policy.
- The General Terms apply to all users of the Platform, including consumers and vendors.
- These Vendor Terms apply specifically and exclusively to vendors.
In the event of any conflict or inconsistency between these Vendor Terms and the General Terms, these Vendor Terms shall prevail with respect to matters relating to vendors and vendor activities.
By registering as a vendor or continuing to operate on the Platform, you acknowledge that you are bound by:

These Vendor Terms; and
-
Any additional policies, guidelines, or standards issued by LEETA from time to time in relation to vendor operations.
1.3 Definitions
For the purposes of these Vendor Terms, unless the context otherwise requires:

“Vendor” means any individual, sole proprietor, partnership, or business entity that has registered and been permitted to access the Platform for the purpose of offering LPG products and/or related services to customers through the Platform.

Platform” means LEETA’s website, mobile application, vendor dashboard, APIs, and any other digital systems or technology infrastructure operated or provided by LEETA for facilitating LPG transactions and related services.

“Services” means the LPG-related trade, distribution, fulfillment, delivery, installation, and energy access services offered by vendors to customers through the Platform, as well as any ancillary services enabled by LEETA.

“Customers” means consumers or end users who place orders for LPG products or services through the Platform.

“Orders” means any request, purchase, or transaction initiated by a customer through the Platform for LPG products or services offered by a vendor, whether fulfilled directly by the vendor or through LEETA-enabled logistics.

“LEETA,” “we,” “our,” or “us” refers to the company operating the Platform.

“You” or “your” refers to the vendor accessing or using the Platform.
1.4 Acceptance of Terms
By applying to register, registering, or continuing to operate as a vendor on the Platform, you expressly acknowledge and agree that:
- You have read, understood, and accepted these Vendor Terms in full;
- You are legally capable of entering into binding agreements under the laws of the Federal Republic of Nigeria;
- You agree to comply with all obligations, standards, and requirements set out in these Vendor Terms and the General Terms; and
- Your continued use of the Platform following any updates constitutes acceptance of the revised Vendor Terms.
If you do not agree to these Vendor Terms or any subsequent amendments, your sole remedy is to discontinue use of the platform and cease offering services through LEETA.
2. VENDOR ELIGIBILITY & ONBOARDING REQUIREMENTS
2.1 Legal Eligibility
To qualify for registration and continued operation as a vendor on the Platform, you must meet the following legal eligibility requirements:

You must be a duly registered business entity under the laws of the Federal Republic of Nigeria. Acceptable forms of registration include, but are not limited to Business Name (Sole Proprietorship); Private Limited Liability Company; or any other legally recognized business structure permitted under Nigerian law.

You must provide a valid Corporate Affairs Commission (CAC) registration number and any other supporting incorporation or registration documents requested by LEETA.
You represent and warrant that: All submitted CAC documents are authentic, current, and accurate; and your business registration remains active and in good standing at all times while operating on the Platform.
- Vendors may require licenses, permits, or approvals relevant to their operations, including but not limited to:
- LPG retail or distribution permits;
- Storage or skid plant approvals;
- Transportation or logistics authorizations; and
- Any other sector-specific approvals required by law.
2.2 Regulatory Compliance
Vendors acknowledge that they are subject to applicable laws, regulations, codes, and standards governing LPG operations in Nigeria, including but not limited to the following:
- Nigerian LPG Safety Regulations: Vendors are expected to comply with applicable safety standards, codes of practice, and operational guidelines relating to LPG, including proper storage, cylinder handling, refilling procedures, transportation, and delivery to customers.
- Nigeria Midstream and Downstream Petroleum Regulatory Authority (NMDPRA) Requirements: Vendors are expected to observe directives, regulations, circulars, and licensing conditions issued by NMDPRA, including licensing and permit conditions, safety and operational audits, reporting obligations, and any updates or regulatory changes issued from time to time.
- Environmental, Health, and Safety Standards: Vendors are expected to comply with applicable environmental, health, and safety (EHS) laws and standards, including fire safety requirements, occupational health and safety obligations, environmental protection and waste management standards, and any applicable state or local government regulations affecting LPG operations.
- Ongoing Compliance Obligation: Vendors acknowledge that regulatory and safety compliance is an ongoing obligation, not a one-time condition for onboarding. Vendors remain responsible for maintaining valid licenses, permits, and approvals and ensuring operations continue to meet regulatory standards throughout use of the Platform.
2.3 Verification & Due Diligence
To protect the integrity of the Platform, ensure regulatory compliance, and safeguard customers, LEETA may, at its discretion, conduct verification and due diligence on vendors during onboarding and at any time thereafter.
- Document Verification
LEETA may request, review, and verify any documents provided by you, including but not limited to:

CAC registration documents;
-
LPG licenses and permits;
-
Proof of business address;
-
Identity documents of proprietors, directors, or authorized representatives; and
-
Any other documentation deemed necessary by LEETA.
- Background Checks
LEETA may conduct background checks on:
-
The vendor entity;
-
Its owners, directors, or key personnel; and
-
Its operational history, including regulatory compliance records.
Such checks may include verification with regulatory authorities, public records, or other lawful sources.

Site Inspections and Operational Assessments: Where applicable, LEETA reserves the right to conduct physical or virtual inspections of your business premises, storage facilities, refill points, or delivery operations to assess: Safety compliance; Operational readiness; and alignment with LEETA’s standards and regulatory expectations.

Refusal, Suspension, or Revocation of Approval: LEETA reserves the right, at its sole discretion, to: Refuse onboarding; Suspend vendor access; or Revoke vendor approval, if you provide inaccurate or misleading information, refuse verification, or are found to pose safety, reputational, or operational risks to LEETA or its customers.
2.4 Additional Representations and Warranties
In addition to the eligibility requirements stated above, you expressly represent and warrant that:
- Any licenses, permits, and regulatory approvals you submit to LEETA are authentic, valid, and lawfully issued, and are not known to be suspended, revoked, or under investigation by any regulatory authority.
- You are not currently aware of any ongoing investigation, enforcement action, or sanction by the Nigeria Midstream and Downstream Petroleum Regulatory Authority (NMDPRA) or any other regulatory body that would materially affect your ability to operate an LPG business in Nigeria.
- Neither you nor any of your directors, owners, officers, or key personnel are convicted of, or found liable for, any regulatory offense, fraud, environmental violation, or safety breach relating to petroleum products or hazardous materials, to the best of your knowledge.
- You are not operating under any borrowed, improperly assigned, falsified, or fronted license; and any regulatory approvals are issued directly in your business name or legally assigned in accordance with Nigerian law.
- Your business is not knowingly being used as a proxy or front for any other third party’s operations
These representations are deemed continuing representations and shall remain true and accurate throughout your operation on the Platform.
2.5 Equipment, Vehicles, and Operational Compliance
You are solely responsible for ensuring that all equipment, facilities, vehicles, cylinders, and personnel used in connection with LPG distribution through the Platform comply at all times with applicable Nigerian laws, regulatory requirements, and safety standards. LEETA does not own, operate, control, or maintain vendor equipment, vehicles, storage facilities, or personnel and assumes no responsibility or liability for their condition, operation, or compliance.
2.6 Subcontracting and Third-Party Restrictions
Vendors shall not subcontract, delegate, or transfer any part of their LPG supply, storage, transportation, or delivery obligations to any third party without prior written approval from LEETA.
Where subcontracting is approved:

The vendor remains fully responsible and liable for all actions and omissions of such subcontractors.

The subcontractor must meet all regulatory, licensing, and safety requirements applicable to the vendor.

The vendor shall ensure that subcontractors comply fully with these Vendor Terms. Unauthorized subcontracting constitutes a material breach of these Terms.
2.7 Mandatory Reporting Obligations
You agree to notify LEETA in writing immediately, and in any event within 24 hours, of any of the following:
- Suspension, revocation, or non-renewal of any license or regulatory approval;
- Regulatory inspection, enforcement action, or investigation relating to your LPG operations;
- Any accident, explosion, fire outbreak, leakage incident, or environmental hazard associated with your operations;
- Any injury, fatality, or significant property damage arising from your LPG activities;
- Any criminal complaint or legal proceeding related to your petroleum operations.
Failure to promptly disclose such events shall constitute a material breach of these Vendor Terms.
2.8 Ongoing Documentation and Renewal Requirements
You agree to provide updated copies of licenses, permits, insurance certificates, and regulatory approvals upon renewal or upon request by LEETA. Where a required license expires:
- LEETA may automatically suspend your vendor account until valid documentation is provided.
- Continued operation without valid documentation may result in permanent termination.
LEETA is under no obligation to monitor license expiration dates and bears no responsibility for vendor non-compliance.
2.9 Audit and Inspection Rights
LEETA reserves the right, upon reasonable notice, to audit or review your compliance with these Vendor Terms and applicable regulatory standards. Such audits may include: Review of licensing documentation; Inspection of safety certifications; Review of operational compliance records and assessment of customer complaints relating to safety or regulatory issues. You agree to cooperate fully with any such audit or review. Refusal to cooperate or obstruction of an audit may result in suspension or termination of your vendor account.
LEETA’s onboarding, listing, or approval of vendors on the Platform does not constitute regulatory approval, endorsement, or certification of compliance. Vendors remain fully responsible for obtaining and maintaining all required licenses, permits, and approvals. Vendors acknowledge and accept all risks associated with operating without full regulatory compliance. LEETA does not monitor, verify, or guarantee vendor compliance with any laws, regulations, or safety requirements and shall not be liable for any violations, penalties, fines, or sanctions arising from a Vendor’s operations.
3. VENDOR ACCOUNT & PLATFORM ACCESS
3.1 Vendor Dashboard Access
3.1 Vendor Account Access
Upon successful onboarding and approval, LEETA will grant you access to a Vendor Account and dashboard (“Vendor Account”) on the Platform for managing your LPG listings, pricing, orders, customer interactions, and related activities. Access to the Vendor Account is:
- Personal to the approved vendor entity;
- Non-transferable;
- Granted at LEETA’s discretion and revocable in accordance with these Vendor Terms.
You may use the Vendor Account solely for lawful business activities related to LPG trade and services on the Platform. Any unauthorized use of the Vendor Account or misuse of the Platform infrastructure is strictly prohibited.
3.2 Accuracy of Business Information
You agree to provide accurate, complete, and up-to-date business information at all times, including but not limited to:
- Business name and registration details;
- Contact information;
- Operating address;
- Any relevant licenses, permits, or approvals that the Vendor currently holds, if applicable;
- Bank account details for settlement.
You must promptly update your Vendor Account if any of the above information changes. LEETA reserves the right to request updated documentation at any time to verify the accuracy of your information. Failure to maintain accurate records may result in suspension or termination of your Vendor Account.
You acknowledge that LEETA does not verify or guarantee the validity of any licenses or permits provided and that all regulatory compliance remains the sole responsibility of the Vendor (see Section 2).
3.3 Responsibility for Login Credentials
You are solely responsible for maintaining the confidentiality and security of your Vendor Account login credentials and for restricting access to authorized personnel only. Any activity carried out through your Vendor Account shall be deemed to have been authorized by you, whether or not such activity was expressly approved. You agree to notify LEETA immediately if you become aware of any unauthorized access, suspected breach, or misuse of your account. LEETA shall not be liable for any losses or damages arising from your failure to safeguard your login credentials.
3.4 One Account per Business
Each legally registered business entity is permitted to operate only one Vendor Account on the Platform unless LEETA provides prior written approval for additional accounts. You may not create or operate multiple accounts, whether directly or indirectly, for the purpose of circumventing platform restrictions, avoiding suspension, manipulating transactions, or gaining unfair advantage.
Where LEETA determines that multiple accounts are linked to the same business or controlling individuals without authorization, LEETA may suspend or permanently terminate all associated accounts.
3.5 Suspension for Misrepresentation or Platform Misuse
LEETA reserves the right to suspend or restrict access to a Vendor Account where any of the following occur, including but not limited to violations described under Section 7 (Prohibited Vendor Conduct):
- False, misleading, or incomplete information has been provided;
- Licensing or regulatory documentation is false, misleading, or otherwise does not accurately reflect the Vendor’s regulatory status;
- The Vendor Account is used for fraudulent, deceptive, or unlawful activity;
- The vendor attempts to manipulate platform systems, ratings, transactions, or customer interactions.
Suspension may occur without prior notice where LEETA determines that immediate action is necessary to protect customers, regulatory compliance, or the integrity of the Platform.
LEETA shall not be liable for any losses arising from suspension due to vendor misrepresentation or misuse. You acknowledge that LEETA does not verify or guarantee the validity of any licenses, permits, or regulatory documentation provided, and all regulatory compliance obligations remain solely with the Vendor (see Section 2).
4. VENDOR OBLIGATIONS
4.1 Product Quality and Safety
As a vendor on the Platform, you are solely responsible for ensuring that all LPG products supplied comply with applicable national safety and quality standards. You must ensure proper handling and storage of cylinders, maintain equipment in approved condition, and under no circumstances adulterate or compromise LPG quality. You remain fully liable for any harm, loss, or damage arising from unsafe, defective, or non-compliant products.
Key responsibilities include:

Ensuring cylinders are certified, intact, and not expired.

Observing proper storage and safety protocols at all times.

Handling LPG in accordance with all regulatory standards to prevent accidents or hazards.
4.2 Pricing Transparency
You must list accurate, clear, and complete pricing for all LPG products and services on the Platform. Charges to customers must be transparent, and you shall not impose hidden fees or manipulate prices after order confirmation. LEETA is not responsible for monitoring pricing, and violations may result in suspension or termination.
4.3 Fulfillment and Delivery
You are responsible for the timely and safe fulfillment of all customer orders. Deliveries must be conducted using vehicles, equipment, and personnel that meet all regulatory and safety standards. If your services include installation or setup, these must be performed competently and safely.
4.4 Customer Service Standards
You must conduct all customer interactions professionally and respectfully. Harassment, abusive behavior, or misconduct is strictly prohibited. You are responsible for managing customer complaints promptly and fairly.
5. HEALTH, SAFETY & ENVIRONMENTAL COMPLIANCE
As a vendor on the Platform, you are solely responsible for complying with all applicable health, safety, and environmental laws and regulations in Nigeria, including those governing LPG storage, handling, transport, and delivery. You must ensure that all personnel, vehicles, equipment, and facilities used in connection with your operations meet these standards at all times.
You are fully responsible for any accidents, incidents, or environmental damage arising from your operations, and LEETA assumes no liability for such events. You must maintain emergency response protocols to address any LPG-related incidents and cooperate with LEETA in the event of an investigation or audit.
You agree to indemnify, defend, and hold harmless LEETA, its officers, directors, employees, and affiliates from any claims, damages, penalties, or losses arising from your failure to comply with health, safety, or environmental regulations.
6. PAYMENTS, COMMISSIONS & SETTLEMENTS
6.1 Platform Commission
As a vendor on the Platform, you agree that LEETA will deduct a commission from each transaction conducted through the Platform. The commission percentage and the timing of such deductions will be communicated to you during onboarding and may be updated from time to time. Your continued use of the Platform constitutes acceptance of any changes to the commission structure.
6.2 Settlement Terms
LEETA will settle proceeds from customer payments to your designated bank account according to the established payment cycle. You are solely responsible for providing accurate, up-to-date bank account details and for ensuring that your account can receive payments. LEETA is not liable for any delays, errors, or failed payments resulting from incorrect or outdated bank information provided by you.
6.3 Chargebacks, Refunds, and Disputes
You are responsible for addressing any failed transactions, refunds, or customer disputes arising from your products or services. LEETA may, at its discretion, temporarily withhold funds related to disputed transactions while investigating the matter. All fraudulent activity or suspected manipulation of transactions will be reviewed by LEETA, and violations may result in account suspension, termination, or legal action. You agree to cooperate fully with any investigation and to bear responsibility for any losses or refunds due to your actions or non-compliance.
7. PROHIBITED VENDOR CONDUCT
To maintain the integrity, safety, and reliability of the Platform, vendors are strictly prohibited from engaging in any conduct that undermines LEETA’s operations, customer trust, regulatory compliance, or commercial interests.
Vendors shall not, whether directly or indirectly:
- Circumvent the Platform or LEETA’s commission structure by soliciting, diverting, or completing transactions with customers introduced through the Platform outside of LEETA, including through off-platform payments, misleading pricing, or side agreements intended to avoid applicable fees or commissions.
- Provide false, misleading, or inaccurate information regarding product availability, stock levels, pricing, delivery timelines, or service capacity.
- Create or participate in fake, inflated, or fraudulent orders, including self-orders, coordinated transactions, or any activity intended to manipulate platform metrics, payments, or visibility.
- Engage in unsafe LPG handling, storage, transportation, or installation practices, or operate in violation of applicable safety, environmental, or petroleum regulations.
Any violation of this section may result in immediate suspension or termination of vendor access to the Platform, withholding of settlements, forfeiture of outstanding balances related to misconduct, and referral to regulatory authorities where applicable. LEETA reserves the right to pursue legal remedies for losses, damages, or reputational harm arising from prohibited conduct.
8. VENDOR RATINGS & PERFORMANCE MONITORING
LEETA reserves the right to monitor, assess, and evaluate vendor performance on an ongoing basis to ensure service quality, customer satisfaction, and operational reliability across the Platform. Performance evaluations may take into account multiple factors, including delivery timelines, order fulfillment accuracy, customer ratings, and the volume or nature of customer complaints.
Vendors are expected to maintain acceptable performance standards as determined by LEETA from time to time. Where a vendor’s performance falls below required thresholds, LEETA may issue warnings, require corrective action, or impose reasonable restrictions on platform access. Repeated or unresolved performance issues may result in penalties, reduced visibility on the Platform, temporary suspension, or termination of the vendor’s account. LEETA’s performance monitoring and rating systems are intended to promote fairness, transparency, and service improvement.
9. MARKETING & PROMOTIONAL USE
Vendors acknowledge that LEETA may, from time to time, wish to feature vendors in marketing initiatives, promotional campaigns, or public communications, including but not limited to website features, social media content, newsletters, case studies, or press releases.
By agreeing to these Vendor Terms, Vendors grant LEETA a non-exclusive, worldwide, royalty-free license to use their business name, logo, and related branding solely for the purposes of marketing or promoting the Platform and the Vendor’s participation, in accordance with the branding guidelines provided by LEETA.
LEETA will seek reasonable consent before using any proprietary content or materials supplied by the Vendor that are not already publicly available. Vendors retain all ownership rights over their content and branding.
Use of vendor information or materials for marketing does not create any liability on the part of LEETA for claims arising from the Vendor’s business operations, products, or services. Vendors may withdraw consent for future marketing use at any time by providing written notice to LEETA, though any use already published prior to notice will remain permitted under this license.
10. SUSPENSION & TERMINATION
10.1 Suspension of Vendor Accounts
LEETA may suspend a Vendor’s access to the Platform where it determines, acting reasonably, that the Vendor’s conduct or operations pose a risk to customer safety, regulatory compliance, or the proper functioning of the Platform. Suspension may be imposed as a precautionary measure while LEETA investigates potential violations or as a response to confirmed breaches of these Vendor Terms.
Circumstances that may give rise to suspension include regulatory non-compliance, safety-related incidents involving LPG handling or delivery, fraudulent or deceptive activity, or a pattern of unresolved customer complaints indicating material service failures. During a period of suspension, LEETA may restrict or disable the Vendor’s access to the Platform, pause listings, and temporarily withhold settlements related to affected transactions while reviews or investigations are ongoing.
Suspension is intended to protect customers, the Platform, and regulatory standing, and does not prevent LEETA from taking further action, including termination, where issues are not resolved or where the severity of the conduct warrants permanent removal.
10.2 Termination of Vendor Accounts
LEETA may terminate a Vendor’s account where the Vendor materially breaches these Vendor Terms, fails to remedy issues that led to suspension, repeatedly violates Platform policies, or engages in conduct that exposes LEETA or customers to legal, safety, or reputational risk. Where appropriate, LEETA may provide notice of termination through the Platform or other reasonable communication channels. However, immediate termination may occur without prior notice in cases involving serious safety risks, fraud, regulatory violations, or unlawful conduct.
Upon termination, the Vendor’s access to the Platform will cease permanently, and all active listings and services will be discontinued. LEETA may retain outstanding settlements for a reasonable period to address refunds, chargebacks, customer disputes, unpaid commissions, penalties, or compliance-related reviews. Any remaining balances, where applicable, will be settled in accordance with these Vendor Terms.
Termination does not affect LEETA’s right to pursue recovery of losses, cooperate with regulatory authorities, or enforce any surviving provisions of this Agreement.
11. INDEMNIFICATION
The Vendor agrees to indemnify, defend, and hold harmless LEETA, its directors, officers, employees, affiliates, and representatives from and against any and all claims, demands, liabilities, damages, losses, penalties, fines, costs, and expenses (including reasonable legal fees) arising out of or in connection with the Vendor’s conduct, operations, or breach of these Vendor Terms.
This indemnification obligation includes, without limitation, any claims or regulatory actions resulting from the Vendor’s failure to comply with applicable laws or licensing requirements; accidents, incidents, or property damage caused by the Vendor’s negligence in the storage, handling, transportation, or delivery of LPG; customer injury claims connected to the Vendor’s products or services; and losses arising from defective, substandard, contaminated, or non-compliant LPG cylinders or related equipment supplied by the Vendor.
The Vendor’s obligation to indemnify LEETA applies whether the claim is brought by a customer, regulatory authority, third party, or governmental body, and survives suspension or termination of the Vendor’s account.
12. INSURANCE REQUIREMENTS
Vendors are strongly encouraged to maintain appropriate insurance coverage to protect against risks arising from their LPG operations conducted through the Platform. Such coverage may include public liability insurance, product liability insurance, and any other insurance reasonably necessary to cover personal injury, property damage, or losses associated with the Vendor’s products or services.
LEETA reserves the right to request reasonable proof of insurance coverage from a Vendor at any time, particularly where safety incidents, regulatory concerns, or customer claims arise. Failure to provide requested proof of insurance may be taken into account when assessing a Vendor’s eligibility to continue operating on the Platform. The absence of insurance coverage does not limit the Vendor’s obligations under these Vendor Terms, including indemnification responsibilities. See Section 17.6 for insurance requirements applicable to unverified vendors.
13. INTELLECTUAL PROPERTY & BRANDING
Vendors are granted a limited, non-exclusive right to use LEETA’s name, logos, and branding materials solely for purposes expressly authorized by LEETA, including marketing or promoting their participation on the Platform in accordance with LEETA’s branding guidelines.
Vendors must not, under any circumstances, misrepresent themselves as employees, agents, or representatives of LEETA, nor imply any authority to act on behalf of LEETA beyond what is expressly permitted. All use of LEETA branding must comply with guidelines provided by the Company, including visual representation, messaging, and any co-branding requirements.
Any unauthorized use of LEETA intellectual property or branding may result in immediate suspension, termination, and potential legal action to protect LEETA’s rights. Vendors acknowledge that all LEETA intellectual property remains the exclusive property of the Company and that no ownership or other rights are transferred by participation on the Platform.
14. CONFIDENTIALITY
Vendors acknowledge that during the course of using the Platform, they may have access to confidential information, including but not limited to customer data, pricing information, trade secrets, proprietary processes, business strategies, and other non-public information belonging to LEETA or its partners.
Vendors agree to:

Protect all such confidential information with the same degree of care they would apply to their own confidential information, but no less than reasonable care.

Use confidential information solely for purposes of performing their obligations under these Vendor Terms.

Not disclose, share, or exploit any confidential information for personal gain or the benefit of any third party.
This confidentiality obligation continues beyond the termination or suspension of the Vendor’s account. Any breach of confidentiality may result in immediate enforcement actions, including suspension, termination, legal claims, and recovery of damages.
15. DISPUTE RESOLUTION & GOVERNING LAW
In the event of any dispute, claim, or controversy arising out of or in connection with these Vendor Terms, the parties agree to first attempt to resolve the matter informally by notifying the other party in writing and negotiating in good faith for a period of at least thirty (30) days. If the dispute is not resolved through informal discussions, the parties agree that the dispute shall be finally resolved by arbitration in accordance with the Arbitration and Mediation Act 2023. The arbitration shall be conducted by a single arbitrator mutually agreed upon by the parties, or, failing agreement, appointed by the relevant arbitral institution in Nigeria. The place of arbitration shall be Lagos, Nigeria, and the proceedings shall be conducted in English. The award rendered by the arbitrator shall be final and binding on the parties.
Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any competent court in Nigeria to protect its intellectual property rights, confidential information, or prevent imminent harm, without waiving the right to arbitration for other disputes.
These Vendor Terms, and any disputes arising out of them, shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to conflict of law provisions.
16. AMENDMENTS
LEETA reserves the right to modify, update, or amend these Vendor Terms at any time by posting the revised version on the Platform. Vendors will be deemed to have accepted any changes by continuing to access or use the Platform or Services after the updated terms have been posted.
It is the responsibility of the Vendor to review these terms periodically. Continued use of the Platform following any modification constitutes acknowledgment and acceptance of the updated Vendor Terms. If a Vendor does not agree with any updated terms, their sole remedy is to discontinue use of the Services and terminate their account in accordance with the termination provisions outlined herein.
17. ONBOARDING OF UNVERIFIED VENDORS
17.1 Provisional Vendor Status
LEETA may, at its sole discretion, grant access to the Platform to vendors prior to completion of full verification (“Unverified Vendor”). The decision to onboard or allow continued operation of Unverified Vendors is intended for operational flexibility and does not constitute approval, endorsement, certification, or guarantee by LEETA of the vendor’s legal, regulatory, safety, or operational compliance.
17.2 Vendor Responsibility and Compliance
Unverified Vendors remain fully and solely responsible for:
- Compliance with all applicable Nigerian laws, regulations, licenses, permits, and safety standards related to LPG operations;
- Safe storage, handling, transportation, and delivery of LPG;
- Maintenance of insurance coverage, where applicable; and
- Any other obligations under these Vendor Terms.
17.3 No Platform Liability
LEETA shall not be liable for any claims, fines, penalties, regulatory actions, accidents, damages, or disputes arising from the operations of Unverified Vendors. Vendors expressly agree to indemnify and hold harmless LEETA, its directors, officers, employees, and affiliates from any losses, costs, or claims resulting from their activities as Unverified Vendors.
17.4 Verification and Remedial Measures
LEETA may, at any time and in its sole discretion:
- Request additional documentation or proof of compliance;
- Restrict, suspend, or limit access to Platform features; or
- Terminate the vendor’s account entirely, in accordance with Sections 10.1 and 10.2, to mitigate risk to customers, LEETA, or regulatory authorities.

By continuing to operate as an Unverified Vendor, you acknowledge that LEETA cannot guarantee compliance with any regulatory authority, including the Nigeria Midstream and Downstream Petroleum Regulatory Authority (NMDPRA), and that all responsibility for lawful and safe operation rests solely with you.
17.6 Insurance Requirement for Unverified Vendors
Vendors who are not fully verified must maintain valid business liability insurance covering operational risks, property damage, personal injury, and regulatory penalties. LEETA may request proof of such insurance at any time. Unverified Vendors acknowledge and accept that they operate at their own risk, and LEETA is not responsible for any losses, damages, or legal consequences arising from their activities on the platform. Failure to maintain insurance may result in suspension or termination of access to the LEETA platform. This insurance requirement does not limit your obligations under Section 11 (Indemnification)
